Terms of Service
These Terms of Service govern your access to and use of Adpivo websites, applications, AI tools, automation features, integrations, and related services.
1. Acceptance of these Terms
By creating an account, purchasing a subscription, connecting an integration, or otherwise using Adpivo, you agree to these Terms of Service and our Privacy Policy. If you use Adpivo for a company or other organization, you represent that you have authority to accept these Terms on its behalf.
2. Adpivo services
Adpivo may provide digital marketing services, AI-assisted business tools, customer communication tools, workflow automation, lead-management features, booking features, analytics, and integrations with third-party services.
Features may vary by product, plan, region, account configuration, integration availability, and development status. We may improve, add, modify, or discontinue features where reasonably necessary.
3. Accounts and security
You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, and all activity performed through your account unless caused by Adpivo’s breach of its obligations. You must promptly notify us if you believe your account or connected service has been compromised.
4. Connected services and permissions
Some Adpivo features require you to connect third-party accounts such as Google Calendar or supported messaging services. You authorize Adpivo to access and use those services only within the permissions you approve and for the functionality you request.
You remain responsible for your relationship with the third-party service and for complying with its terms. You can disconnect an integration through Adpivo when that option is available, and you may also revoke access directly with the third-party provider.
5. Google Calendar features
If you connect Google Calendar, Adpivo may, depending on enabled features and the permissions you grant, read calendar metadata, check availability, create events, update events, cancel or reschedule events, and create meeting links when supported.
Adpivo should treat a booking as calendar-confirmed only after the connected calendar provider reports a successful calendar action. You are responsible for reviewing your booking configuration, working hours, calendar selection, timezone, and confirmation settings.
6. AI and automation
Adpivo may use AI to generate responses, recommendations, content, classifications, summaries, or workflow decisions. AI output can be inaccurate, incomplete, or unsuitable for a particular situation. You are responsible for configuring the level of automation appropriate for your business and for reviewing actions where human approval is required.
You must not rely on Adpivo as a substitute for professional legal, medical, financial, or other regulated professional advice unless a specific Adpivo service expressly states otherwise and is legally permitted to do so.
7. Your content and customer data
You retain ownership of content and business information you submit to Adpivo. You grant Adpivo the limited rights necessary to host, process, transmit, and display that content solely to provide and secure the service.
You are responsible for ensuring you have a lawful basis and all required notices or permissions to upload, process, message, store, or automate communications involving your customers, prospects, employees, or other individuals.
8. Acceptable use
You must not use Adpivo to:
- Violate applicable law, regulations, sanctions, or third-party rights.
- Send unlawful spam, deceptive messages, scams, harassment, or abusive content.
- Attempt unauthorized access to accounts, systems, or data.
- Distribute malware or interfere with service security or availability.
- Misrepresent your identity or impersonate another person or business unlawfully.
- Use connected third-party services in a way that violates their applicable terms or platform rules.
9. Fees, subscriptions, and renewals
Paid services may be billed on a recurring subscription basis. The price, billing cycle, included usage, and applicable limits are shown at purchase or in your account.
If you cancel a renewal, the cancellation generally stops the next renewal and does not automatically refund amounts already paid, except where required by law. Our current payment and service-credit rules are explained in the Refund Policy. You remain responsible for charges incurred before cancellation becomes effective.
Taxes, payment-provider fees, currency conversion, and third-party service charges may apply where disclosed or required.
10. Third-party services
Adpivo integrates with services operated by third parties. We do not control those services and are not responsible for outages, policy changes, suspensions, API limitations, or actions taken by third-party providers. Third-party services may change or discontinue functionality without notice to Adpivo.
11. Intellectual property
Adpivo and its licensors retain all rights in the Adpivo platform, software, designs, trademarks, documentation, and technology, excluding your content and third-party materials. You may not copy, reverse engineer, resell, or exploit the service except as allowed by law or a written agreement with Adpivo.
12. Availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, security incidents, third-party outages, internet failures, and other events may affect service operation.
13. Suspension and termination
We may suspend or terminate access when reasonably necessary to protect users, prevent fraud or abuse, comply with law, address non-payment, or respond to a material breach of these Terms. You may stop using Adpivo at any time and may cancel recurring renewal through the available account or billing controls.
14. Disclaimers
To the maximum extent permitted by applicable law, Adpivo is provided on an “as is” and “as available” basis. We do not guarantee specific advertising results, sales, lead volume, search rankings, message-delivery outcomes, booking volume, or other business results.
15. Limitation of liability
To the maximum extent permitted by applicable law, Adpivo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from use of the service. Any limitation that cannot legally apply in your jurisdiction will apply only to the maximum extent permitted by law.
16. Indemnity
To the extent permitted by law, you agree to be responsible for claims, losses, or costs arising from your unlawful use of Adpivo, your content, your customer communications, or your violation of these Terms or third-party rights.
17. Governing rules
These Terms are governed by the law applicable to the Adpivo contracting entity and the customer relationship, subject to any mandatory consumer or other legal protections that cannot be excluded. If a separate written agreement with Adpivo specifies a governing law or dispute process, that agreement controls for the covered service.
18. Changes to these Terms
We may update these Terms to reflect service, legal, security, or business changes. We will update the effective date and provide additional notice when required by law. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.
